Eligibility:

The Snap a Sweet Shot Photo Contest (“Contest”) is only open to legal residents of the 50 states of the U.S. and D.C. who are physically located and residing therein, who are 18 years of age or older as of January 15, 2007 and who are not subject to any performance agreement or similar agreement which would interfere with their ability to enter this Contest or assign all rights to be assigned hereunder. If a prospective participant is a resident of a jurisdiction that deems him/her to be a minor, he/she must obtain parental/legal guardian consent prior to entering this Contest. Void where prohibited by law.

Employees, officers, and directors of SmugMug, Inc. (“Sponsor”), Sony Pictures Entertainment Inc., Sony Pictures Digital, Inc., Hilltop New Media, Inc. (“Hilltop”), eInvite.com, B and G Cookie Company, and their advertising or promotion agencies, those involved in the production, development, implementation or handling of this Contest, any agents acting for, or on behalf of the above entities, their respective parents, affiliates, and subsidiaries, licensees, service providers, and any other person or entity associated with this Contest (collectively, the “Contest Entities”), members of their immediate families (spouses, children, siblings, parents), and/or persons living in the same household as such persons, whether or not related, are ineligible to enter this Contest.

Contest Description:

Contest begins on or about 12:00 p.m. (noon) Pacific Time ("PT") on January 15, 2007, and ends at entry deadline of 12:00 p.m. (noon) PT on February 17, 2007 ("Contest Period"). Prospective participants are instructed to access the Contest Web Site located at www.catchandrelease.smugmug.com ("Web Site") and submit an original photo in a .jpg format that best catches a special moment between you and up to nine (9) of your friends (“Submission”). Eligible Submissions will be judged to determine the prize winners. All entries must be received by 12:00 p.m. (noon) PT on February 17, 2007 to be eligible to win a prize.

How To Enter:

Entrants must complete a contest entry form consisting of first name, last name, city, state, zip code, e-mail address, phone number and date of birth (collectively “Entry Information”). Entrants must then upload their Submissions following the instructions provided on the Web Site. There is no fee to register. Only the entrant registered under a particular email address may participate in this Contest. Entrants then must click on the Submit Entry & Photo button to enter into this Contest (“Entry”). Once submitted, you cannot change your Submission. It is the responsibility of the entrant to check if his/her Submission conforms to all the guidelines stated in these Official Rules.

Representation of Ownership of Work/Material: By submitting Submission, entrant (his/her parent/legal guardian if entrant is a resident of a jurisdiction that deems him/her to be a minor) represents and warrants to Sponsor and Contest Entities that (i) the Submission is wholly original, has not been copied in whole or in part from any other work, is entrant’s sole and exclusive work and does not infringe upon or otherwise violate any copyright, trademark, privacy, publicity or other proprietary right of any person or entity, (ii) entrant has all rights necessary to submit the Submission in the Contest in accordance with these Official Rules, (iii) no person or entity other than entrant has any right, title or interest in and to the Submission or any part of the Submission, and (iv) entrant owns copyright of the Submission and has permission from all friends or family or people depicted in the Submission to participate in Contest.

Licensing/Ownership Rights of Submissions to Sponsor and Hilltop: Upon submitting a Submission, entrants hereby grant the following to Sponsor:

1. a. a non-exclusive, royalty-free, transferable, sublicensable, right and license throughout the universe to, in Sponsor’s sole and absolute discretion,:
2. i. post the Submission on Sponsor’s Web Site, to otherwise use and exploit the Submission in accordance with Sponsor’s Terms of Use, review, judge, critique, and distribute internally the Submissions

In the event that entrant is selected as the Grand Prize or a First Prize winner, entrant’s Submission, including the full and complete ownership thereof, must be assigned to Hilltop, or its designee, such that Hilltop, or its designee, will own entrant’s Submission including, but not limited to, 100% of the worldwide copyrights therein and thereto, (for the full term of copyright and any and all renewals and extensions thereof) and Hilltop, or its designee, will have the exclusive right in perpetuity to own and administer the Submission subject to the terms and conditions of these Official Rules.

A Submission that may be posted on the Web Site may differ from the Submission originally entered due to technical errors, problems or compatibility issues, and Contest Entities shall have no liability related thereto. EVEN IF A SUBMISSION IS SUBMITTED AT THE WEB SITE, SUCH SUBMISSION MAY NOT BE ELIGIBLE FOR THIS CONTEST. In addition, by submitting a Submission, entrant (and his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) understands and acknowledges that the Submission submitted may be posted on the Web Site for public viewing even if such Submission does NOT win a prize as described below.

Entries must be received during the Contest Period. Limit one (1) Entry per person for the entire Contest. Multiple entries in excess of this limit by the same person will be disqualified. Any attempted form of entry into this Contest other than as described herein is void. No entry by group or organization. Proof of delivery or receipt of an Entry will not be deemed by Sponsor as proof of entry into this Contest. As determined by Sponsor in its sole discretion, Submissions that include material that is unfit for publication or otherwise objectionable material will be disqualified. All content of Submissions provided by entrant must not have been previously published. Without limitation and in its sole discretion, Sponsor may disqualify any Entry that it deems to:

1. a) Contain materials that are profane, disruptive, unlawful, harmful, threatening, abusive, vulgar, obscene, hateful, or racially or ethnically-motivated, or otherwise objectionable;
2. b) Impersonate any person, including but not limited to, a government official or other public person;
3. c) Advertise or solicit sales for any product or service;
4. d) Defame or invade the privacy rights of any person, living or deceased;
5. e) Infringe on any personal or proprietary right of any person or entity;
6. f) Contain any trademarks, tradenames, logos, or copyrighted material of any person or entity;
7. g) Contain any sound, music, or other pre-recorded material that has not been provided by the Web site, or otherwise infringe the intellectual property rights or similar rights of any person or entity;
8. h) Post, transmit, or otherwise make available any personally identifying information about any person (such as phone numbers or addresses), including the entrant
9. i) Contain any alcoholic beverages, tobacco, drug paraphernalia, firearms, or any depiction or representation thereof; or
10. j) Contain any material which would give rise to criminal or civil liability; which encourages conduct that constitutes a criminal offense; or which encourages or provides instructional information about illegal activities.

Submissions which are not reasonably pertinent to the judging criteria described below as determined by Sponsor, in its sole discretion, or are otherwise in violation of these Official Rules, will be disqualified. Determination of Winner:

On or about March 1, 2007, all Submissions will be judged by SmugMug, Inc. executives based upon the following criteria: 1) Marketability - 30 points; 2) Creativity - 30 points; and 3) Originality - 30 points; (90 points maximum). The one (1) entrant whose Submission receives the highest point totals will be declared the potential Grand Prize Winner, subject to written verification of eligibility. The nine (9) entrants with the next highest point totals, will be declared potential First Prize Winners (subject to written verification of eligibility). In the event of a tie to determine a Grand Prize or First Prize Winner, the tied entrants whose Submission scored higher in "Creativity" will be declared the potential Grand Prize Winner or First Prize Winner, respectively. Any further ties will be broken by the points earned by remaining tied Finalists respectively in each of the following categories, in order, as necessary: "Originality" and "Marketability". If needed, Sponsor will re-score Submissions until any tie(s) is/are broken. Sponsor has the right, in its sole discretion, to not select a Grand Prize or any/all First Prize Winner(s) based on an insufficient number of eligible Submissions received or in the event that a Submission (or in the case of judging First Prize winners, a total of nine Submissions) does not receive a total score of at least 70 points. Prize Winners will be solely responsible for all federal, state and local taxes or licenses on prizes. All Prizes will be awarded provided a sufficient number of eligible Entries are received. In the event a prize or prize component is unavailable, Sponsor reserves the right to substitute a prize or prize component of equal or greater value. No substitution, assignment, redemption for cash, or transfer of any prize permitted, except, at Sponsor’s discretion. Limit one (1) prize per person per household.

ALL PRIZES ARE AWARDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

In the event of a dispute about the identity of the entrant, Entries will be declared made by the authorized account holder of the e-mail address submitted at time of entry. An authorized account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider or other organization (e.g. business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The potential winner may be required to provide Sponsors with proof that the potential winner is the authorized account holder of the e-mail address associated with the winning Entry.

Notifications:

Potential winners (or, if residents of a jurisdiction that deems them to be minors, their parent or legal guardians) will be notified by the Sponsor’s representative by phone on or about March 8, 2007. If a potential Grand Prize or First Prize winner (or, if a resident of a jurisdiction that deems him/her to be a minor, his/her parent or legal guardian) cannot be reached after a reasonable effort has been asserted, if he/she is found to be ineligible, and/or if he/she does not comply with these Official Rules, potential winner will be disqualified, and the entrant whose Submission received the next highest point total may be declared the Grand Prize or First Prize winner at Sponsor’s sole discretion. A potential winner (or his/her parent/legal guardian, if a resident of a jurisdiction that deems him/her to be a minor) will be required to complete, sign and have notarized, an Affidavit of Eligibility, a Liability Release, and (where legal) a Publicity Release (“collectively, Affidavit/Release”) which will include, among other things, a representation of the Submission’s originality, a grant to Sponsor of any and all rights of ownership and use of the Submission (e.g., in whole or in part, in edited, unedited or distorted form), on and in connection with this Contest, for any trade advertising or promotional purposes whatsoever, without review, approval, notification or further payment/compensation from or to any person or entity, in all media now known or hereafter discovered throughout the universe. Affidavit/Release must be returned within five (5) days after receipt along with any other documentation that Sponsor may require, or potential Grand Prize or First Prize winner may be disqualified and the entrant whose Submission received the next highest point total may be declared the Grand Prize or First Prize winner at Sponsor’s sole discretion. Winners may be required, upon Sponsor’s request, to complete additional documentation that, among other things, grants the Sponsor the right to distribute and/or exploit winner’s Submission for whatever purpose Sponsor chooses without further compensation. Return of prize or prize notification as undeliverable will result in disqualification and the entrant whose Submission received the next highest point total may be declared the Grand Prize or a First Prize winner at Sponsor’s sole discretion. If winners are residents of a jurisdiction that deems them to be minors, then prizes will be awarded in the name of or to their parent/legal guardians, in Sponsor’s sole discretion.

General Conditions and Disclaimers:

All federal, state or other tax liabilities arising from the Contest will be the sole responsibility of the winners. This Contest is subject to these Official Rules and all applicable federal, state, and local laws. By entering this Contest, entrants agree to waive any right to claim any ambiguity or error in the Official Rules of the Contest, or the Contest itself, and agree to be bound by these Official Rules and by all decisions of the Sponsor and/or the judges, whose decisions are binding and final in all respects. Contest Entities are not responsible or liable for multiple Entries, Entries that are entered by other than human means, or Entries that are late, incomplete, lost, misdirected, forged, damaged, destroyed, tampered with, or otherwise not in compliance with these Official Rules (whether due to the fault of the entrant, Sponsor, or any other Contest Entity), and all such Entries will be disqualified. Contest Entities are not responsible for incorrect or inaccurate transcription of Entry Information or if the Web Site becomes corrupted. If, for any reason, Contest is not capable of running as originally planned, Sponsor at its sole discretion, reserves the right to cancel, suspend or modify Contest or any portion(s) thereof and conduct the Contest and award the prize in a manner that Sponsor determines, in its sole discretion, is fair, appropriate and consistent with the spirit of these Official Rules. Any person attempting to defraud Sponsor or tamper with this Contest in any way will be prosecuted to the full extent permitted by law and will not be eligible for a prize. Once submitted, Entry Information, Entries, Submissions and Affidavit/Releases become the sole property of Sponsor and will not be returned. Sponsor has the right to use, assign or dispose of Entries however it sees fit without approval of or compensation to, entrant or any third party. By entering, entrants agree to comply with the Terms of Use and Privacy Policy of Web Site. Additionally, by opting-in to specific offers from any of the Sweepstakes Entities, entrant’s entry information will be subject to their respective privacy policies and terms of service and entrant agrees to receive additional email communication from those companies.

Release From Liability of Contest Entities:

By participating, entrants (if residents of a jurisdiction that deems them to be minors, their parent/legal guardians) agree that Contest Entities shall have no responsibility or liability (including, but not limited to, liability for any property loss, damage, personal injury or death) in connection with this Contest (including, but not limited to, misprinted or typographical errors on the Web Site or other Contest promotional materials), including participation, acceptance/possession and/or use or misuse, and/or defects of the prizes (or component of the prizes) awarded herein (including, but not limited to, cancellations and delays, or other entity or any other persons providing any of the components for the prize, due to reasons beyond the control of Contest Entities), even if caused by the negligence of the Contest Entities. Entrants (if residents of a jurisdiction that deems them to be minors, their parent/legal guardians) further acknowledge that said Contest Entities have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to the prizes. Entrants (if residents of a jurisdiction that deems them to be minors, their parent/legal guardians) agree to indemnify and hold harmless the Contest Entities, and each of them from and against any and all liability, damages, costs, attorneys fees, etc. incurred with regard to any claim by any person(s) in connection with any and all of the rights and benefits conferred by entrant upon the Contest Entities in these Official Rules. Entrants (if residents of a jurisdiction that deems them to be minors, their parent/legal guardians) also agree that Contest Entities shall not be responsible for unauthorized intervention, online traffic/congestion, or any technical malfunctions of the telephone network, computer online system, computer dating mechanism, computer equipment, software, interruption or inability to access or utilize any assets/tools that may be designated for this Contest on the Web Site for any reason, or any combination thereof. Entrants (if residents of a jurisdiction that deems them to be minors, their parent/legal guardians) further agree that the Contest Entities are not responsible or liable for any injury or damage to an entrant’s or third person’s computer and/or its contents, related to or resulting from any part of this Contest. Contest Entities shall not be liable for any injury, damage, loss, expense, accident, delay, inconvenience or irregularity that may be caused or contributed to (1) by any wrongful, negligent or unauthorized act or omission on the part of a prize supplier or any of its agents, servants, employees or independent contractors, (2) by any wrongful, negligent or unauthorized act or omission on the part of any other person or entity not an employee of Contest Entities, or (3) by any other cause, condition or event whatsoever beyond the control of Contest Entities or their parents, subsidiaries and affiliated companies. Entrants (if residents of a jurisdiction that deems them to be minors, their parent/legal guardians) agree to release all rights to bring any claim, action, or proceeding against the Contest Entities.
